Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS AND EXCLUSIONS OF LIABILITY, A BINDING ARBITRATION AGREEMENT, AND A CLASS ACTION WAIVER. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

NOTICE TO TRIP ORGANIZERS: YOU ARE RESPONSIBLE FOR UNDERSTANDING HOW THE LAWS WORK IN YOUR DESTINATION COUNTRIES. CERTAIN COUNTRIES AND JURISDICTIONS RESTRICT TRAVEL GUIDES, TOUR OPERATORS, TRAVEL COMPANIES, AND OTHER TRAVEL ORGANIZERS, OR REQUIRE THEM TO HOLD LICENSES, PERMITS, BONDS, OR REGISTRATIONS. YOU SHOULD REVIEW APPLICABLE LOCAL LAWS BEFORE LISTING A TRIP ON SQUADTRIP AND BEFORE USING SQUADTRIP TO COLLECT PAYMENTS.

1. Agreement to These Terms

These Terms of Service (the “Terms”) are a binding legal contract between you and Squadtrip Corporation, a Delaware corporation (“SquadTrip,” “we,” “us,” or “our”). They govern your access to and use of the website at squadtrip.com, our dashboard and traveler-facing applications, our APIs, and all related products, features, and services we provide (collectively, the “Services”).

By accessing or using the Services, you agree to comply with and be legally bound by these Terms, whether or not you register for an account. If you do not agree to these Terms, you have no right to access or use the Services and must discontinue use immediately.

If you are agreeing to these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity, and “you” and “your” refer to that entity.

When you use certain features of the Services, you may also be subject to additional guidelines, terms, policies, or agreements applicable to those features (“Policies”), including our Privacy Policy. All Policies are incorporated into these Terms by reference. If these Terms conflict with any Policy, these Terms control.

2. Definitions

  • “Trip Organizer” or “Organizer” means a Member who creates, lists, markets, sells, or operates a Trip using the Services.
  • “Traveler” means a Member who books, registers for, or makes payment toward a Trip through the Services.
  • “Member” means any user of the Services, including Trip Organizers, Travelers, team members, affiliates, and visitors.
  • “Trip” means any travel experience, tour, retreat, event, activity, accommodation, or other offering listed, sold, or operated by a Trip Organizer through the Services.
  • “Trip Content” means all content a Trip Organizer submits to the Services, including trip descriptions, pricing, itineraries, images, terms, waivers, refund policies, and registration questions.
  • “Processing Fee” means the fee described in Section 8 that SquadTrip charges on payments processed through the Services.
  • “Subscription” means a paid plan providing access to the Services on a recurring basis.
  • “Referral Program” means any referral, affiliate, partner, ambassador, or revenue-share program SquadTrip offers, as described in Section 10.

3. Eligibility

The Services are intended solely for persons who are 18 years of age or older. Any access to or use of the Services by anyone under 18 is expressly prohibited. By accessing or using the Services, you represent and warrant that you are 18 or older and that you have never been suspended or removed from the Services.

You further represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States embargo or sanctions, and that you are not listed on any United States government list of prohibited or restricted parties.

4. Accounts and Account Security

To use most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You may not select a username you do not have the right to use, or impersonate another person or entity.

You are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at help@squadtrip.com of any unauthorized access or suspected breach. You may not transfer or assign your account to any other party without our prior written consent.

If you grant additional team members, collaborators, or clients access to your account, you remain fully responsible for their actions and for their compliance with these Terms.

5. Our Role: SquadTrip Is Not the Trip Provider

The Services are an online platform and marketplace with related technology through which Members can offer travel services, collect payments for travel services, and find and learn about travel services offered by other Members. Travelers and Trip Organizers learn about each other through the Services and arrange bookings of Trips directly with each other.

SquadTrip is not the organizer, operator, seller, or provider of any travel-related activity, including but not limited to tours, trips, retreats, transportation, lodging, excursions, or activities. We are not a travel agency, tour operator, seller of travel, carrier, or insurer. We do not own, manage, inspect, or control any Trip.

Unless explicitly specified otherwise within the SquadTrip platform, SquadTrip’s responsibilities are limited to: (i) facilitating the availability of the Services; and (ii) serving as the limited payment collection agent of each Trip Organizer for the purpose of accepting payments from Travelers on behalf of that Trip Organizer.

A Traveler’s payment obligation to a Trip Organizer is satisfied when payment is received by SquadTrip acting in that limited agent capacity. SquadTrip does not hold, escrow, or take custody of Trip funds. Funds are settled to the Trip Organizer’s connected payment account as described in Section 9.

SQUADTRIP CANNOT AND DOES NOT CONTROL THE CONTENT CONTAINED IN ANY TRIP OFFERING, OR THE CONDITION, CIRCUMSTANCES, QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY TRIP. SQUADTRIP IS NOT RESPONSIBLE FOR AND DISCLAIMS ANY AND ALL LIABILITY RELATED TO ANY AND ALL LISTINGS AND TRIPS. ANY BOOKING IS MADE AT THE TRAVELER’S OWN RISK.

The contract for any Trip is formed solely between the Trip Organizer and the Traveler. SquadTrip is not a party to that contract. Any dispute regarding a Trip — including its cancellation, postponement, alteration, quality, safety, or any refund owed — is solely between the Trip Organizer and the Traveler.

6. Trip Organizer Terms

This Section applies to you if you use the Services as a Trip Organizer. It applies in addition to all other Sections.

6.1 Your Responsibility for Your Trips

You are solely responsible for your Trips, including their planning, pricing, marketing, staffing, operation, safety, and delivery. You are solely responsible for all obligations you owe to your Travelers. You represent and warrant that:

  • You have the full legal right, authority, and capacity to offer and operate each Trip you list;
  • You hold all licenses, permits, registrations, bonds, and insurance required in every jurisdiction in which you market, sell, or operate the Trip, including any seller-of-travel registration required by states such as California, Florida, Washington, Hawaii, and Iowa;
  • All Trip Content you submit is accurate, complete, and not misleading, and does not infringe the rights of any third party;
  • Your Trip pricing, deposits, payment schedules, cancellation terms, and refund policy are clearly and accurately disclosed to Travelers before purchase;
  • You will honor the terms, refund policy, and cancellation policy you present to Travelers; and
  • You will comply with all applicable laws, including consumer protection, advertising, travel, tax, export, sanctions, data protection, and anti-discrimination laws.

6.2 Your Own Terms and Waivers

The Services allow you to present your own terms, conditions, waivers, releases, refund policies, and agreements to Travelers, and to collect electronic signatures on them. Those documents are your documents. SquadTrip does not draft, review, verify, or endorse them and makes no representation that they are enforceable, compliant with applicable law, or adequate to protect you. You are solely responsible for their content, legality, and enforceability, and for retaining your own records of them.

SquadTrip provides electronic signature functionality as a convenience. We make no representation or warranty that any signature captured through the Services satisfies the requirements of the E-SIGN Act, UETA, or any other law applicable to your documents or your jurisdiction. You should consult your own counsel.

6.3 Traveler Data

You may collect personal information from Travelers through registration questions, including sensitive information such as passport details, dates of birth, emergency contacts, dietary requirements, and health or allergy information. With respect to that information, you are an independent controller and are solely responsible for:

  • Establishing a lawful basis for collecting and processing it;
  • Providing Travelers with any legally required notices and obtaining any required consents;
  • Collecting only information you genuinely need for the Trip;
  • Safeguarding it and using it only for purposes disclosed to the Traveler; and
  • Complying with all applicable data protection laws, including the GDPR, CCPA/CPRA, and any applicable health-information laws.

You will not sell Traveler personal information, use it for unrelated marketing without a lawful basis, or retain it longer than necessary. You will indemnify SquadTrip for any claim arising from your handling of Traveler data, as provided in Section 19.

6.4 Taxes

You are solely responsible for determining, collecting, reporting, and remitting all taxes arising from your Trips and your use of the Services, including sales, use, occupancy, tourist, VAT, GST, and income taxes. SquadTrip does not provide tax advice and does not determine, collect, or remit taxes on your behalf. Amounts shown in the Services are exclusive of taxes unless expressly stated otherwise.

7. Traveler Terms

This Section applies to you if you use the Services as a Traveler. It applies in addition to all other Sections.

When you book a Trip, you are entering into a contract with the Trip Organizer, not with SquadTrip. The Trip Organizer sets the price, the payment schedule, the cancellation policy, the refund policy, and all terms of the Trip itself. You should read the Trip Organizer’s terms carefully before you pay.

You acknowledge and agree that:

  • Refunds are determined by the Trip Organizer’s policy, not by SquadTrip. We have no authority to compel a Trip Organizer to issue a refund and do not guarantee any refund.
  • If a Trip is cancelled, postponed, altered, oversold, or not delivered as described, your remedy is against the Trip Organizer. SquadTrip is not financially responsible for any Trip.
  • You are responsible for your own passports, visas, entry requirements, vaccinations, and travel documentation, and for verifying them with the relevant authorities.
  • Travel involves inherent risks. You are strongly encouraged to obtain comprehensive travel insurance, including trip cancellation, interruption, medical, and evacuation coverage. SquadTrip does not provide insurance of any kind.
  • If you elect a payment plan, you authorize recurring charges to your payment method on the schedule presented at checkout, and you are responsible for keeping a valid payment method on file. Failed payments may result in cancellation of your booking under the Trip Organizer’s policy.
  • Information you submit through registration forms is shared with the Trip Organizer, who is independently responsible for it as described in Section 6.3.

7.1 Payment Plans and Installments

Where a Trip Organizer offers a payment plan, you authorize SquadTrip, acting as the Trip Organizer’s limited payment collection agent, to charge your payment method automatically for each scheduled installment on the dates presented at checkout, without further authorization from you, until the balance is paid or the plan is cancelled.

You are responsible for maintaining a valid payment method. If an installment fails, we may retry it and notify you. Whether a missed or late installment results in cancellation of your booking, forfeiture of amounts already paid, a late fee, or loss of your place on the Trip is determined by the Trip Organizer’s policy, not by SquadTrip. Amounts already paid are refundable only to the extent the Trip Organizer’s policy provides.

Cancelling a payment plan, disputing a charge, or removing your payment method does not by itself cancel your booking or extinguish any amount you owe the Trip Organizer under your agreement with them.

Where you elect a buy-now-pay-later option, your credit arrangement is with that provider under its own terms. Your obligations to that provider continue regardless of what happens to the Trip.

7.2 Assumption of Risk

TRAVEL CARRIES INHERENT RISK. BY BOOKING AND PARTICIPATING IN A TRIP, YOU FREELY AND VOLUNTARILY ASSUME THOSE RISKS, INCLUDING THE RISK OF ILLNESS, INFECTIOUS DISEASE, BODILY INJURY, DISABILITY, EMOTIONAL DISTRESS, PROPERTY LOSS, AND DEATH.

These risks may arise from transportation, lodging, adventure or physical activities, water activities, altitude, weather, wildlife, food and water quality, local medical and emergency-response capacity, crime, civil unrest, political instability, border and entry enforcement, and the acts or omissions of Trip Organizers, local operators, and other participants. Standards of safety, medical care, sanitation, licensing, and infrastructure in your destination may differ materially from those where you live, and may be substantially lower.

You are responsible for assessing whether a Trip is appropriate for your own health, fitness, ability, and risk tolerance, and for consulting a physician where relevant. SquadTrip does not inspect Trips, vet operators, verify safety practices, or assess suitability, and does not provide medical, security, or travel advice.

8. Fees and Processing Fees

8.1 Processing Fee

SquadTrip charges a Processing Fee on payments processed through the Services. The current Processing Fee is published on our Pricing page, which is incorporated into these Terms by reference. The Processing Fee is inclusive of the underlying card-network and payment-processor fees charged by Stripe.

Depending on the settings a Trip Organizer selects, the Processing Fee may be passed through to the Traveler at checkout or absorbed by the Trip Organizer. The Trip Organizer is responsible for accurately disclosing to Travelers how fees are handled.

8.2 Fees Are Non-Refundable

Except where required by law or expressly stated otherwise, all fees paid to SquadTrip are non-refundable, including where a Trip Organizer refunds a Traveler, where a Trip is cancelled, and where a payment is later disputed or reversed. Where a Trip Organizer issues a refund to a Traveler, the Processing Fee associated with the original payment is not returned.

8.3 We May Change Fees at Any Time

SQUADTRIP RESERVES THE RIGHT TO ESTABLISH, CHANGE, INCREASE, DECREASE, RESTRUCTURE, OR ELIMINATE ANY FEE, INCLUDING THE PROCESSING FEE, AT ANY TIME AND IN ITS SOLE DISCRETION, WITH OR WITHOUT PRIOR NOTICE TO YOU.

Changes take effect when posted to the Pricing page or otherwise made available through the Services, and apply to all transactions processed on or after the effective date. We may, but are not obligated to, provide advance notice by email or in-product notification. You are responsible for reviewing the current fee schedule before relying on it, and your continued use of the Services after a fee change constitutes acceptance of that change.

Because Processing Fees may be passed through to Travelers, Trip Organizers are responsible for reviewing current fees before pricing and marketing a Trip, and for updating their own disclosures accordingly.

9. Payment Processing and Payouts

Payments through the Services are processed by Stripe, Inc. To receive funds, a Trip Organizer must create or connect a Stripe account and accept the applicable Stripe Services Agreement. Your relationship with Stripe is governed by that agreement and by Stripe’s Privacy Policy. Stripe, not SquadTrip, is responsible for its own services.

Funds from Traveler payments are settled to the Trip Organizer’s connected Stripe account. SquadTrip does not hold, escrow, or take custody of Trip funds. Payout timing, verification requirements, holds, reserves, and account limits are determined by Stripe and applicable law, and are outside SquadTrip’s control. Stripe typically requires a verification period before releasing a first payout.

SquadTrip is not responsible for any delay, hold, reserve, freeze, reversal, or refusal to pay out imposed by Stripe, by a card network, by a banking partner, or by operation of law. Your recourse in those circumstances is with Stripe.

Buy-now-pay-later options such as Klarna, Afterpay, and Affirm may be made available. Those services are provided by third parties under their own terms, and SquadTrip is not a party to and not responsible for any credit arrangement between a Traveler and such a provider.

9.1 Chargebacks and Disputed Payments

Trip Organizers bear full financial responsibility for all chargebacks, reversals, and payment disputes arising from their Trips, including the disputed amount and any associated fees, penalties, or costs. SquadTrip may recover such amounts by deducting them from amounts otherwise payable to you, by charging your payment method on file, or by invoicing you directly, and you authorize us to do so.

You agree to cooperate promptly and in good faith with any dispute investigation and to provide requested documentation. Excessive chargeback rates may result in suspension or termination under Section 15.

9.2 Amounts You Owe Us

Amounts you owe SquadTrip are due on demand. Overdue amounts accrue interest from the due date at the lesser of one percent (1%) per month, compounded monthly, or the maximum rate permitted by law. You will reimburse us for reasonable costs of collection, including attorneys’ fees.

We may set off any amount you owe us against any amount we owe you, including accrued Referral Program balances, whether or not arising from the same Trip or transaction.

10. Subscriptions and Billing

10.1 Plans

We offer both free and paid Subscription plans. Current plans, features, and prices are published on our Pricing page, incorporated by reference. Features available on any plan are described there and may change as provided in Section 11.

10.2 Billing and Automatic Renewal

Paid Subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. By purchasing a Subscription, you authorize us to charge your payment method on a recurring basis without further authorization from you.

You must maintain a valid payment method. If a charge fails, we may retry it, suspend your access, or downgrade your account. You remain responsible for amounts owed.

10.3 Cancellation and Refunds

You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access through the end of the period you have paid for.

Subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, downgrades, or periods during which you did not use the Services, except where required by law.

10.4 We May Change Subscription Pricing and Plans

SQUADTRIP RESERVES THE RIGHT TO CHANGE SUBSCRIPTION PRICING, INTRODUCE NEW CHARGES, MODIFY BILLING CYCLES, AND ADD, ALTER, RESTRUCTURE, OR DISCONTINUE ANY SUBSCRIPTION PLAN OR TIER AT ANY TIME AND IN ITS SOLE DISCRETION.

Price changes apply as of your next renewal following the change. We will provide notice of a price increase where required by applicable law, including under automatic-renewal statutes, and you may avoid an increase by cancelling before your next renewal as described in Section 10.3. If we discontinue a plan you are on, we may migrate your account to the nearest comparable plan at its then-current price as of your next renewal.

11. Changes to the Services

SQUADTRIP RESERVES THE RIGHT TO MODIFY, SUSPEND, LIMIT, OR DISCONTINUE THE SERVICES, OR ANY FEATURE, FUNCTIONALITY, INTEGRATION, OR PRODUCT OFFERING, IN WHOLE OR IN PART, AT ANY TIME AND IN ITS SOLE DISCRETION, WITH OR WITHOUT PRIOR NOTICE, AND WITHOUT LIABILITY TO YOU OR TO ANY THIRD PARTY.

We may add, change, or remove features; change technical requirements; impose limits on usage, storage, or messaging; and deprecate integrations with third-party services. We do not guarantee that any particular feature will remain available.

Where we discontinue a feature that a Trip Organizer is actively relying on for a Trip already open for booking, we will use commercially reasonable efforts to provide reasonable advance notice or a comparable alternative. This is a statement of intent and does not create an enforceable obligation or entitle you to any remedy.

The Services are provided on an as-available basis. We do not commit to any uptime, availability, or service level unless we have agreed to one in a separate written agreement signed by us.

12. Referral and Affiliate Programs

12.1 Participation

We may offer Referral Programs allowing you to earn credits, commissions, or other rewards. Participation is a discretionary privilege, not a right, and is subject to any program-specific rules we publish, which are incorporated by reference. Rewards are earned only for qualifying activity that complies with these Terms and the applicable program rules.

You may not earn rewards through self-referral, fraudulent or fabricated signups, spam, unsolicited bulk messaging, paid search bidding on our trademarks, misleading claims about SquadTrip, or any other conduct we determine in our sole discretion to be abusive or in bad faith. We may withhold, reverse, or cancel any reward associated with such conduct, and may reverse rewards tied to transactions that are refunded, reversed, charged back, or fraudulent.

12.2 We May Change or End Any Referral Program

SQUADTRIP RESERVES THE RIGHT TO CHANGE, SUSPEND, RESTRUCTURE, OR DISCONTINUE ANY REFERRAL PROGRAM — INCLUDING COMMISSION RATES, REWARD AMOUNTS, ELIGIBILITY CRITERIA, ATTRIBUTION RULES, AND PAYOUT TERMS — AT ANY TIME AND IN ITS SOLE DISCRETION, WITH OR WITHOUT PRIOR NOTICE, AND TO TERMINATE ANY PARTICIPANT’S PARTICIPATION AT ANY TIME FOR ANY REASON.

Changes apply prospectively as of their effective date. Rewards validly accrued in compliance with these Terms and the applicable program rules before that effective date remain payable, subject to Sections 12.1 and 12.3.

12.3 Payout, Minimums, and Dormancy

Any balance displayed in your account is a record of rewards accrued under the applicable program. It is not a deposit, not stored value, not an account balance held for you, and not held in trust or escrow. It does not bear interest, and you are not entitled to interest or other compensation in respect of it. SquadTrip does not provide banking, deposit-taking, stored value, money transmission, or other financial services. We may impose a minimum payout threshold and a reasonable holding period to account for refunds and chargebacks. Payouts are made through the payment method we designate, and you are responsible for providing accurate payout and tax information. We may withhold payout pending receipt of required tax documentation.

If your account is closed or terminated, unpaid accrued balances below the minimum payout threshold may be forfeited to the extent permitted by law. Balances that remain unclaimed will be handled in accordance with applicable unclaimed property law.

13. Acceptable Use

You agree that you will not, and will not permit anyone acting on your behalf to:

  • Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
  • List or promote a Trip you do not intend or are not able to operate, or misrepresent a Trip’s price, itinerary, inclusions, or terms;
  • Use the Services to launder money, finance terrorism, evade sanctions, or process payments unrelated to a bona fide Trip;
  • Process payments for goods or services prohibited by Stripe or by any card network, or engage in transaction laundering on behalf of another party;
  • Collect payments and then fail to deliver the Trip or to honor your stated refund policy;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Upload or transmit any virus, malware, or other harmful code;
  • Probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measure;
  • Access the Services by automated means, scrape or harvest data, or use the Services to build a competing product;
  • Use or incorporate any portion of the Services or of any content obtained through them to train, fine-tune, or ground any machine learning model, large language model, or generative AI system;
  • Reverse engineer, decompile, or disassemble any part of the Services;
  • Circumvent fees. Use the Services to identify a Trip Organizer or Traveler and then complete or move a booking off-platform for the purpose of avoiding Processing Fees or other fees owed to SquadTrip;
  • Misuse communication tools. Use SquadTrip’s email, SMS, or other messaging features to advertise, promote, or drive bookings to trips, offers, or checkout flows hosted outside the Services, or to direct Travelers to any competing platform. Communication features are provided for communicating with Travelers about your Trips on SquadTrip;
  • Solicit or recruit any Member to a competing platform or service without our prior written consent;
  • List or sell a Trip that you do not yourself conduct, organize, or operate, unless you have disclosed the actual operator to Travelers and hold the authority to sell it;
  • Send unsolicited bulk communications through the Services, or use Traveler contact information for any purpose not disclosed to and permitted by the Traveler;
  • Infringe any intellectual property, privacy, publicity, or other right;
  • Post content that is defamatory, obscene, harassing, hateful, or discriminatory, or that violates any anti-discrimination law;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Resell, sublicense, or otherwise commercialize access to the Services except as expressly permitted; or
  • Encourage or enable any third party to do any of the above.

14. Content and Intellectual Property

14.1 Your Content

You retain ownership of Trip Content and other content you submit to the Services. You grant SquadTrip a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, translate, publicly display, and distribute that content solely for the purposes of operating, providing, securing, improving, and promoting the Services.

You represent and warrant that you own or have all rights necessary to grant this license and that your content does not infringe or violate the rights of any third party. This license survives termination with respect to content you have made publicly available or that has been incorporated into another Member’s records, such as a Traveler’s booking confirmation or signed waiver.

14.2 Our Content

The Services, including all software, design, text, graphics, logos, and other materials we provide, are owned by SquadTrip or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. No other rights are granted. The SquadTrip name and logo are our trademarks and may not be used without our prior written permission.

14.3 Feedback

If you provide suggestions, feedback, or ideas about the Services, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without compensation or attribution to you.

14.4 Copyright Complaints

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. If you believe content on the Services infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to help@squadtrip.com. We may remove allegedly infringing content and terminate repeat infringers.

15. Suspension and Termination

15.1 By You

You may stop using the Services and close your account at any time. Closing your account does not relieve you of obligations already incurred, including obligations to Travelers who have booked your Trips.

15.2 By Us

SQUADTRIP MAY SUSPEND, RESTRICT, DOWNGRADE, OR TERMINATE YOUR ACCOUNT, YOUR SUBSCRIPTION, AND YOUR ACCESS TO THE SERVICES, IN WHOLE OR IN PART, AT ANY TIME, WITH OR WITHOUT PRIOR NOTICE, AND FOR ANY REASON OR NO REASON, IN OUR SOLE DISCRETION.

Reasons include, without limitation: any actual or suspected violation of these Terms or any Policy; misuse or abuse of the Services, of our staff, or of other Members; fraud, deception, or misrepresentation; excessive chargebacks or refund rates; failure to deliver Trips or honor stated refund policies; failure to pay amounts owed; conduct that creates legal, regulatory, financial, reputational, or security risk to SquadTrip or any Member; a request or requirement from Stripe, a card network, a banking partner, or a governmental authority; abusive or harassing conduct toward our personnel; or extended account inactivity. We may treat an account as inactive where there has been no login, transaction, or other user-initiated activity for twelve (12) consecutive months.

We may take these actions without prior notice where we determine notice is impractical, would create risk, or is otherwise not appropriate. We are not liable to you or to any third party for any suspension, restriction, or termination, and no refund or credit will be provided for any unused portion of a Subscription terminated for cause.

15.3 Effect of Termination

On termination, your license to use the Services ends immediately. We may deactivate or delete your account and content, subject to our retention obligations and our Privacy Policy. Where practicable, we will provide a reasonable opportunity to export your data before deletion, but we are not obligated to retain any data following termination and you are responsible for maintaining your own records.

Termination does not affect payments already validly collected from Travelers for Trips booked before termination. Those funds will settle to the Trip Organizer’s connected Stripe account in the ordinary course, subject to Stripe’s terms, any applicable chargeback or dispute obligations, and any amounts you owe us. Termination of your account does not release you from your obligations to your Travelers, which remain yours alone.

Sections 5, 6.3, 7.2, 8.2, 9.1, 12.3, 14, 15.3, and 16 through 23 survive termination, together with any obligation you have to pay or reimburse us.

16. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUADTRIP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services are free of harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the Services, including Trip Content.

We do not vet, screen, endorse, or verify Trip Organizers, Travelers, or Trips. We do not conduct background checks. We make no representation about the identity, legitimacy, solvency, licensing, insurance, competence, or safety of any Member, or about the quality, safety, or legality of any Trip. You are solely responsible for your own due diligence.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUADTRIP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL SQUADTRIP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO SQUADTRIP IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SquadTrip is not liable for any Trip. Without limiting the foregoing, we are not liable for any cancellation, postponement, alteration, or non-delivery of a Trip; for any refund owed by a Trip Organizer; for any act, omission, insolvency, fraud, or misconduct of a Trip Organizer, Traveler, or other third party; for any personal injury, illness, death, or property damage occurring in connection with a Trip; or for any act of Stripe, Klarna, Afterpay, Affirm, or any other third-party provider.

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

18. Release of Claims Between Members

Your dealings with other Members are solely between you and them. You release SquadTrip and its officers, directors, employees, agents, affiliates, and payment processing partners from all claims, demands, damages, and losses of every kind arising out of or connected with any dispute between you and another Member, including any Trip Organizer, Traveler, or third-party provider.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” YOU WAIVE ANY COMPARABLE LAW OF ANY OTHER JURISDICTION.

19. Indemnification

You agree to defend, indemnify, and hold harmless SquadTrip and its officers, directors, employees, agents, and affiliates from and against any claim, demand, action, damage, loss, cost, liability, or expense (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of or access to the Services;
  • Your violation of these Terms, any Policy, or any applicable law;
  • Your violation of any third-party right, including intellectual property, privacy, or publicity rights;
  • Any Trip you organize, operate, market, sell, or participate in;
  • Any content you submit to the Services;
  • Your handling of Traveler personal information, including any data protection claim or regulatory action;
  • Any dispute between you and another Member; and
  • Any tax obligation of yours, or any failure to hold a required license, permit, bond, registration, or insurance.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defense. This obligation survives termination.

20. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH SQUADTRIP INDIVIDUALLY, AND LIMITS THE WAY YOU CAN SEEK RELIEF. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

20.1 Informal Resolution First

Before filing a claim, you agree to try to resolve the dispute informally by sending a written notice describing the dispute and the relief sought to help@squadtrip.com. The parties will attempt in good faith to resolve the dispute for sixty (60) days before either may commence arbitration.

20.2 Binding Arbitration

Except as provided in Section 20.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court. The arbitration will be conducted by a single arbitrator, in the English language, and, unless the parties agree otherwise, by videoconference or on written submissions. The arbitrator’s award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

20.3 Class Action and Jury Trial Waiver

YOU AND SQUADTRIP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. YOU AND SQUADTRIP EACH WAIVE ANY RIGHT TO A TRIAL BY JURY.

If this waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court, while all other claims proceed in arbitration.

20.4 Exceptions

Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual property or to address unauthorized access to the Services.

In addition, SquadTrip may bring an action in court to collect amounts you owe us, including unpaid fees, chargeback liability, and reimbursement obligations, and such an action is not subject to arbitration.

20.5 Coordinated Claims

If twenty-five (25) or more claimants represented by the same or coordinated counsel submit demands for arbitration raising substantially similar claims within a ninety (90) day period, those demands will be arbitrated in batches of up to fifty (50) claimants, with a single arbitrator, one set of arbitration fees, and one hearing per batch. This Section is intended to promote efficient resolution and does not waive any party’s substantive rights.

20.6 Your Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to help@squadtrip.com with the subject line “Arbitration Opt-Out” within thirty (30) days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out. Opting out will not affect any other part of these Terms and will not adversely affect your use of the Services. If you opt out, SquadTrip will not be bound by this arbitration agreement as to you either.

20.7 Severability of This Section

If any portion of this Section is found unenforceable as to a particular claim or request for relief, that portion will be severed as to that claim or request only, and the remainder of this Section will continue to apply.

20.8 Time Limit

To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arose, or it is permanently barred.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Subject to Section 20, you and SquadTrip consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute not subject to arbitration, and waive any objection to that venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Changes to These Terms

We reserve the right to modify these Terms and any Policy at any time in our sole discretion. If we modify these Terms, we will post the modification on the Site or through the Services and, where we consider it appropriate or where required by law, notify you by email or in-product notification.

Changes are effective at the time of posting. You are responsible for reviewing these Terms regularly. You agree that posting revised Terms or Policies constitutes adequate and constructive notice to you of all revisions and changes. Your continued use of the Services after changes take effect constitutes your acceptance of them and you agree to be bound as of the date of modification.

If you do not agree to a change, your sole remedy is to stop using the Services and close your account. Except as described in this Section, no amendment to these Terms is effective unless in writing and signed by both you and us.

23. General

Entire Agreement. These Terms, together with all Policies incorporated by reference, constitute the entire agreement between you and SquadTrip regarding the Services and supersede all prior agreements and understandings, including any prior terms of use or terms of service published by us.

Severability. If any provision is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force.

No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent, and any attempted assignment is void. We may freely assign these Terms, including in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disaster, epidemic or pandemic, public health emergency, war, terrorism, civil unrest, government action, border closure, travel restriction, labor dispute, utility or telecommunications failure, cyberattack, or failure of a third-party provider.

Relationship. Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between you and SquadTrip, except the limited payment collection agency expressly described in Section 5.

No Third-Party Beneficiaries. These Terms do not confer any rights on any third party, except that our officers, directors, employees, agents, and affiliates are intended beneficiaries of Sections 16, 17, and 18.

Notices. We may provide notice to you by email to the address associated with your account, by posting on the Site, or through in-product notification. You consent to receive communications from us electronically and agree that electronic communications satisfy any legal requirement that a communication be in writing. Notices to us must be sent to help@squadtrip.com.

Export and Sanctions. You agree to comply with all applicable export control and economic sanctions laws.

Headings. Section headings are for convenience only, have no legal or contractual effect, and do not affect interpretation.

Interpretation. Where these Terms state that SquadTrip “may” do something, or has the right, is permitted, or is authorized to do something, it means we may but are not obligated to do so. Any determination, decision, or belief we are called on to make under these Terms may be made in our sole discretion.
